Settlement of CLG Convertible Loan Notes – Completion of Balance Sheet Restructuring

Technology Minerals Plc (LSE: TM1), the UK listed company focused on building national resource and manufacturing resilience, announces the appointment of RPG Crouch Chapman LLP (“RPGCC”) as its external auditor with immediate effect. The appointment of RPGCC follows the resignation of PKF Littlejohn LLP ("PKF"). PKF has confirmed to the Company that there are no circumstances connected with its resignation which it considers should be brought to the attention of the members or creditors of the Company.

Recyclus Group Ltd ("Recyclus"), has signed an agreement with UK-based shared sustainable transport operator, Beryl, to recycle waste lithium-ion ("Li-ion") batteries from its fleet of e-bikes and e-scooters.

Further to the announcement of 3 August 2026, Technology Minerals Plc (LSE: TM1), the UK listed company focused on building national resource and manufacturing resilience, announces that it has issued 600,000,000 shares to CLG Capital LLC ("CLG") as outlined in the agreed terms for the settlement of its convertible loan note position. In accordance with the terms of the settlement with CLG, the Company will issue CLG 324,317,390 new ordinary shares of £0.0005 each ("New Ordinary Shares"), and 275,682,610 shares held by the Company, as stated in the announcement of 24 July 2026, to be issued at a later date. These shares had been noted as held in treasury but were not allotted.
